Professional Service Agreement
These Terms and Conditions establish a clear, professional framework for Flutter development services worldwide. As an individual developer working with global clients, these terms protect both parties while ensuring quality service delivery.

Service Agreement
Service Provider
These terms govern the freelance development services provided by Deval Joshi ("I", "me", "my"), an individual Flutter developer working globally with clients worldwide. By engaging my services, you agree to these terms.
Service Scope
I provide Flutter mobile app development, web development, UI/UX design, consulting, and related technical services. Specific project scope, deliverables, and timelines are defined in separate project agreements.
Independent Contractor
I operate as an independent contractor. Nothing in this agreement creates an employment, partnership, or agency relationship between us.
Payment Terms
Payment Schedule
Payment terms are specified in individual project contracts. Standard terms include 50% upfront payment and 50% upon completion, unless otherwise agreed in writing.
Late Payments
Late payments may result in project suspension and additional fees of 1.5% per month on overdue amounts. Projects resume upon full payment of outstanding amounts.
Disputes
Payment disputes must be raised within 7 days of invoice receipt. Undisputed portions remain payable as scheduled.
Intellectual Property
Client Ownership
Upon full payment, you own the custom code and designs created specifically for your project, excluding pre-existing components, libraries, and frameworks.
Developer Rights
I retain rights to general methodologies, techniques, and any pre-existing intellectual property. I may use project experience for portfolio purposes with your consent.
Third-Party Assets
Any third-party libraries, frameworks, or assets remain subject to their respective licenses. You're responsible for obtaining necessary licenses for stock assets, fonts, or premium services.
Limitations & Disclaimers
Service Limitations
I provide development services to the best of my ability but cannot guarantee specific business outcomes, app store approval, or market success.
Liability Limitation
My liability is limited to the amount paid for services. I am not liable for indirect, incidental, or consequential damages arising from the use of delivered products.
Force Majeure
I am not liable for delays or failures due to circumstances beyond my control, including but not limited to natural disasters, government actions, or technical infrastructure failures.
Developer Protection Framework
Individual Developer Protection
- Limited personal liability to project value only
- No liability for client's business decisions or outcomes
- Protection from unreasonable project scope expansion
- Clear boundaries on maintenance obligations
Project Protection
- Defined project scope prevents scope creep
- Clear revision limits and change request procedures
- Protection from unlimited revisions or changes
- Defined timeline with client dependency clauses
Financial Protection
- Payment schedule protects against non-payment
- Late payment penalties discourage delays
- Work suspension rights for payment issues
- Clear dispute resolution procedures
Client Responsibilities
Successful project completion requires mutual cooperation. Clients are expected to fulfill the following obligations:
Timely Communication
Respond to requests for information, feedback, and approvals within agreed timeframes
Resource Provision
Provide necessary assets, content, credentials, and access required for project completion
Realistic Expectations
Maintain realistic expectations about project timelines, technical limitations, and outcomes
Payment Compliance
Make payments according to agreed schedule and terms
Legal Compliance
Ensure project requirements comply with applicable laws and regulations
Content Responsibility
Take full responsibility for content, data, and legal compliance of the final product
Termination & Cancellation
Project Termination
- Either party may terminate with 7 days written notice
- Payment due for all work completed up to termination date
- Client receives all work products completed and paid for
- No refunds for work already completed and delivered
Completion & Handover
- 30-day warranty period for bug fixes (not feature additions)
- Complete source code and documentation delivery
- Optional ongoing maintenance at separate rates
- Knowledge transfer and setup documentation
Governing Law & Disputes
Governing Law
These terms are governed by Indian law for Indian clients. For international clients, the governing law may be mutually agreed upon in the project contract.
I am flexible with jurisdiction to accommodate international business relationships while maintaining reasonable legal protection.
Dispute Resolution
All disputes should first be resolved through good-faith negotiation and direct communication. If needed, we prefer online mediation or arbitration before formal legal proceedings.
Payment obligations remain enforceable for completed and delivered work during any dispute.
